Government Contract Flow Down Terms for Vendor

Unless otherwise expressly amended in the underlying agreement, vendors or suppliers providing goods and/or services to Omnicell that will be resold to the U.S. Government by Omnicell are required to comply with this schedule of government contract flow down terms. To the extent the Prime Agreement in place between Omnicell and the U.S. Government is modified to include a newer version of any clause contained in this schedule, the date the modified version of the clause as it appears in the Prime Agreement shall be controlling and said version shall be incorporated into this schedule.

Omnicell may, in its sole discretion, make changes to this schedule from time to time and when changes are made, Omnicell will make a copy of the schedule available on this website. Omnicell will also update the "Last Updated" date identified in this schedule. Any changes to this schedule will be immediately effective for any goods, products, and/or services purchased by Omnicell from Supplier for resell to the U.S. Government under the Prime Agreement as of the "Last Updated" date.
